Communication policy between independent directors and internal audit supervisors and accountants

1. Communication Policy for Independent Directors and Heads of Internal Audit
  • Independent directors and internal audit supervisors meet once a month before the end of each month. In addition to delivering audit reports and tracking audit reports for their review and personal signature, independent directors review the reports and discuss the contents of the report, the status of internal audit implementation and internal control operations. The situation is fully communicated; in case of major abnormal events, the independent directors may request the internal audit supervisor to supplement information and report or convene a meeting at any time.
  • The head of internal audit shall sit on the audit committee as non-voting delegates.
  • Participate in regular meetings of independent directors and accountants at least twice a year.

2. Communication policy between independent directors and accountants

The independent directors and accountants hold regular meetings at least twice a year, and the accountants report to the independent directors on the company's financial status, the financial and overall operation of domestic and overseas subsidiaries, and the internal control audit, and make an entry on whether there is any major adjustment. It is necessary to fully communicate whether or not the revision of laws and regulations affects the accounting situation; if there is a major abnormal event, a meeting may be convened at any time.
